Except in the case of a force majeure, if not satisfied with Seller’s determination, Buyer as its sole remedy shall have a right to terminate this contract without further obligation upon: (i) 10 calendar days’ written notice; and (ii) payment for all Product received to date. 14. Buyer shall indemnify, defend and save Seller harmless against any and all liability for Buyer Indemnity Costs arising out of or in any way connected with Buyer’s failure to disseminate such information. Seller may assign rights or delegate duties and/or subcontract the performance of Seller’s obligations hereunder without the consent of Buyer.
