If Seller determines that Buyer’s financial capacity has become impaired or otherwise unsatisfactory to
Seller, Seller at its discretion may require advance cash payments, COD, shorter terms, and/or the posting of satisfactory
security by Buyer, and may withhold shipments.

Seller shall have the right to terminate an
order confirmation with immediate effect if at any time prior to delivery, a person or group of persons who are unrelated
to the persons controlling Buyer as of the date of the order confirmation, acquires control, through ownership of voting
securities or otherwise, over Buyer.
