If Seller determines that Buyer’s financial responsibility has become impaired or otherwise unsatisfactory to Seller, Seller at its discretion may require advance cash payments, COD, shorter terms, and/or the posting of satisfactory security by Buyer, and may withhold shipments. The panel of arbitrators will issue an award in accordance with the expressly written provisions of this contract and will not issue an award based on justice and order matters considered fair by the arbitrators (ex aequo et bono). The costs of arbitration will be determined by the panel of arbitrators.
